General Terms and Conditions
Business Terms for Corporate Customers
These general terms and conditions apply to our business customers (B2B) and govern the sale of our premium vanilla pods. By placing an order with us, you as a customer agree to these terms and conditions.

2. Order and Agreement
2.1 Order
Orders can be placed via our webshop www.flavoia.se, email or through your assigned sales contact.
2.2 Conclusion of the contract
An agreement is considered concluded when we confirm your order.
2.3 Prices
All prices are inclusive of value added tax (VAT) and any shipping costs. We reserve the right to adjust prices due to changes in market conditions, currencies or other factors beyond our control.
3. Payment terms
3.1 Payment methods
Payment can be made via invoice, bank transfer, card payment or via Klarna as a third party.
3.2 Payment period
Payment must be made within 30 days net from the invoice date, unless otherwise agreed. In the event of late payment, interest will be charged in accordance with the Interest Act and a reminder fee of 60 SEK. Continued delays may result in new orders not being processed until previous invoices have been paid.
3.3 Invoicing
Electronic invoice is standard. If a paper invoice is desired, a fee of 50 SEK will be added.
4. Delivery terms
4.1 Delivery methods
Deliveries are made via PostNord. Delivery terms are DAP (Delivered at Place) according to Incoterms 2020, unless otherwise agreed.
4.2 Delivery time
Normal delivery time is 3-7 working days, depending on stock status and delivery address. In case of delays, we will inform you as soon as possible.
4.3 Shipping costs
The shipping cost is based on order size and delivery address and is specified on the invoice.
4.4 Transport damage
Any damage that occurs during transport must be reported to us within 3 working days of receipt. Documentation in the form of pictures is required. If the customer does not report within this time frame, the goods are considered to be in good condition upon delivery.
5. Complaints and Returns
5.1 Complaints
Complaints must be made within 7 days of receipt of the goods. If the complaint is approved, we will replace the product or offer a credit.
5.2 Returns
Goods that are returned must be unused, in their original packaging and completely sealed to avoid the risk of damage or destruction. Returns are only accepted after approval from us. The cost of return transport is the responsibility of the customer, unless otherwise agreed.
6. Limitation of liability
SC Fusion AB, which operates under the brand Flavoia, is only liable for direct damage arising from our breach of contract and never for indirect damage, such as loss of revenue or goodwill.
7. Force Majeure
SC Fusion AB, which operates under the brand Flavoia, is not responsible for delays or failure to fulfill its obligations if this is due to circumstances beyond our control, such as natural disasters, strikes, transportation problems or other force majeure events.
8. Applicable Law and Disputes
All agreements are governed by Swedish law. Any disputes shall primarily be resolved through dialogue and cooperation between the parties. If a solution cannot be reached, the dispute shall be settled in a Swedish general court with Halmstad District Court as the first instance.
9. Changes to Terms
SC Fusion AB, which operates under the brand name Flavoia, reserves the right to change these terms and conditions. Changes will be notified in writing at least 30 days before they come into effect.
